Welcome to CorpDesk. These Terms of Service ("Terms") govern your use of our compliance management platform operated by CorpDesk ("we", "our", or "us").

By accessing or using CorpDesk, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By creating an account or using our services, you confirm that:

  • You are at least 18 years old
  • You have the authority to bind yourself or your organization to these Terms
  • You will comply with all applicable laws and regulations

2. Description of Services

CorpDesk provides a compliance management platform for Indian businesses, including:

  • Company identity management (CIN, PAN, GST tracking)
  • Document storage and organization
  • Compliance deadline tracking and reminders
  • GST, ROC, TDS, and Income Tax filing management
  • API integrations with government portals (MCA, GST)

3. Account Registration

3.1 Account Creation

To use our services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Organization Accounts

When you create an organization, you represent that you have the authority to do so on behalf of that business entity.

3.3 Account Security

You must immediately notify us of any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your credentials.

4. Subscription and Payments

4.1 Pricing

Our services are offered under various subscription plans. Pricing is displayed on our website and may be updated with reasonable notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payments are processed through Razorpay
  • All fees are in Indian Rupees (INR) unless otherwise specified

4.3 Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rated refunds available within 30 days of purchase
  • Refund requests should be sent to billing@corpdesk.in

4.4 Taxes

You are responsible for all applicable taxes. Prices displayed may or may not include GST as specified.

5. Acceptable Use

You agree NOT to:

  • Use the service for any illegal purpose
  • Upload malicious code or files
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Resell or redistribute our services without authorization
  • Use automated scripts to access the service without permission
  • Upload false or misleading company information
  • Impersonate others or misrepresent your affiliation

6. Intellectual Property

6.1 Our Property

CorpDesk, including its design, features, and content, is protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.

6.2 Your Content

You retain ownership of documents and data you upload. By uploading content, you grant us a limited license to store, process, and display it as necessary to provide our services.

6.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to compensate you.

7. Data and Privacy

Your use of CorpDesk is also governed by our Privacy Policy. By using our services, you consent to our data practices as described in that policy.

8. Third-Party Services

8.1 Government APIs

We integrate with government portals (MCA, GST) to fetch and verify company information. We are not responsible for the accuracy or availability of these external services.

8.2 Payment Processing

Payments are processed by Razorpay. Your use of payment services is subject to their terms and conditions.

9. Disclaimers

9.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

9.2 Accuracy

While we strive for accuracy, compliance information provided is for reference only. You should verify critical information with official sources and consult qualified professionals for legal or tax advice.

9.3 No Professional Advice

CorpDesk is a software tool. It does not constitute legal, tax, or professional advice. Always consult qualified professionals for compliance decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for missed compliance deadlines, penalties, or fines resulting from use of our service

11. Indemnification

You agree to indemnify and hold harmless CorpDesk, its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time through the account settings or by contacting support@corpdesk.in.

12.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Non-payment of fees
  • Extended period of inactivity
  • Legal or regulatory requirements

12.3 Effect of Termination

Upon termination:

  • Your access to the service will be revoked
  • You may export your data within 30 days
  • We may retain data as required by law or for legitimate business purposes

13. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.

15. Dispute Resolution

Before initiating legal proceedings, you agree to attempt resolution through:

  1. Direct negotiation with our support team
  2. Mediation, if negotiation fails

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy and any applicable agreements, constitute the entire agreement between you and CorpDesk.

16.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in effect.

16.3 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to an affiliate or successor.
